The Assembly of Members is the highest governing body of the organization. It consists of all members of the organization. The Assembly of Members has the ultimate responsibility for the policies and the financial affairs of the organization.
Apart from the other powers given to it (as mentioned above), the Assembly of Members shall also have the following powers:

Elect the members of Board of Directors, as well as 2 replacement Board members.
Approve the annual financial review of the organization.
Approve the annual budget
Approve the annual program.

he Assembly of Members can delegate any of its responsibilities to the Board of Directors or any other organ or officers of the organization, by the decision of the majority of its members. Meetings of the Assembly of Members are a separate paragraph on our statutes.

 


The Board of Directors is responsible for the control and management of the affairs and property of the organization. The Board of Directors acts in accordance with the purpose(s) of the organization.
The Board of Directors has the following powers:

Representing the organization
Electing the Chairman of the Board
Signing any agreement in the name of the organization
Selecting and managing the organization’s employees
Appointing auditors


The Board of Directors has the following responsibilities:

Legal and financial responsibility for the affairs of the organization until the approval of the annual financial review of the organization by the Assembly of Members.
Dissemination of all significant information received by the Board and significant decisions rendered by the Board.
 

The Board of Directors is composed of 3 representatives from the member organizations. The Assembly of Members by a simple majority elects them individually. Each director serves for a term of one year and shall remain in office until a successor takes office, or until death, resignation or removal.
The Board of Directors consists of 3 Members: a Chairperson, a Secretary and a Treasurer.

Members of the Board of Directors can be elected for consecutive terms.
Members of the Board of Directors can be removed before the end of their term by a vote at an Annual General Meeting or Extraordinary General Meeting of the Assembly of Members. In case of the death, resignation or removal of a member of the Board of Directors, where there are no alternate Board members available, the Assembly of Members elects a successor to serve the remaining term.

Decisions by the Board of Directors are by majority.

The Board of Directors can decide to refer any matter to the Assembly of Members for decision.  No remuneration or compensation is paid to the Directors without the approval of the Assembly of members and only where the remuneration or compensation is reasonable and for work performed for the organization. Any member of the Board of Directors can abstain from voting on a decision on any matter in which he or she has a potential conflict of interest.
